PR runs Panera Bread restaurants, which serve primarily sandwiches, soups, and coffees. PR signed an exclusivity agreement with White City stating that White City would not lease space to a “bakery or restaurant reasonably expected to have annual sales of sandwiches greater than ten percent (10%) of its total sales.” After signing this agreement, White City began negotiating with a business hoping to open a Qdoba restaurant in the shopping center. Qdobas sell Mexican-style food like burritos, quesadillas, and tacos. PR argued that allowing a Qdoba into the shopping center would violate the exclusivity agreement and consequently sought a preliminary injunction to prevent White City from leasing a spot to Qdoba.
