Western was a consulting services company. LLC contracted with Western for consulting services related to the potential development of a wind farm in Platte County, Wyoming. Services were rendered, but the LLC was insolvent and failed to pay Western’s invoices.
GreenHunter was the sole member of LLC. GreenHunter and LLC shared the same business address, management, employees, and accounting department. The LLC had no revenue separate from GreenHunter and relied on cash infusions from GreenHunter. Additionally, GreenHunter claimed deductions, assets, and liabilities related to the LLC’s activities for its own tax benefits.
