Corenswet, Inc., (plaintiff) was the exclusive distributor of Amana Inc.’s (defendant) refrigerators, freezers, air conditioners, and other home appliances in southern Louisiana. In 1969, Corenswet and Amana entered into a distributorship agreement of infinite duration. The agreement was terminable by either party at any time “with or without cause” with ten days’ notice to the other party. The agreement was modified in 1975 so that termination of the contract was allowed by either party “at any time for any reason” with ten days’ notice to the other party. In 1976, Amana’s president informed Corenswet that it would soon terminate their business relationship because Corenswet was underfinanced. Corenswet sued Amana for damages.
