Duane Streit (defendant) operated a business raising hogs with his father, John Streit. The Streits were long-time customers of St. Ansgar Mills (plaintiff), a business that bought corn from local grain farmers and sold corn to livestock farmers. In a typical transaction, the Streits would initiate the purchase by requesting a price quote for corn and other grain products from St. Ansgar Mills. If the Streits and St. Ansgar Mills made an oral contract, then the latter would prepare a written confirmation for the sale and mail it for Streit to sign. It was not unusual, however, for the Streits to fail to sign the written confirmation for a long period of time. Nonetheless, the Streits had never refused a delivery from St. Ansgar Mills. Eventually, the Streits refused a delivery of corn that was orally purchased from St. Ansgar Mills on July 1st. St. Ansgar Mills had prepared a written confirmation for the July 1st purchase, but neither of the Streits ever signed it. St. Ansgar Mills brought suit.
