Shawe and Elting co-founded Transperfect Global, with each controlling half of the corporation‘s common stock. The two were also engaged, but Elting called off the marriage and eventually married another individual. Shawe proceeded to engage in a series of behavior which negatively affected the corporation. The two remained the corporation’s sole directors, and could not carry out basic functions, like approving mergers and acquisitions, resulting in shareholder deadlock. The corporation exhausted nearly all remedies, including mediations, negotiations, and the appointment of a Special Master.
