Khayter, Goulart, and Leslie founded Boston Software Collaborative, Inc. Each individual owned a third of the company’s shares, and each served as corporate officers. Goulart and Khayter worked significantly more hours than Leslie, and Leslie had received several complaints against him for inappropriate behavior. Leslie e-mailed the other officers expressing his decision to stay, but also with a threat that his wife would shoot them. Goulart and Khayter decided to place Leslie on unpaid leave, as well as offer him a severance package. Leslie refused. Goulart and Khayter, acing as directors and shareholders , used their position to remove Leslie.
