Harold S. Lee and his sons Lester and Eric (Plaintiffs) owned a 50% interest in Capitol City Liquor Company, Inc., a wholesale liquor distributor in Washington, D.C. which sold Joseph E. Seagram & Sons, Inc.’s (Defendant) alcohol products. Plaintiffs decided to sell their respective interests in the business, and Harold Lee contacted Jack Yogman, one of defendant’s executives, to discuss an offer for sale. He offered to sell Capitol City to defendant on the condition that defendant would relocate Harold and his sons in a new distributorship. Defendant entered into a written agreement with plaintiff for the sale of Capitol City. Despite Harold’s discussions with Yogman, no new distributorship was secured for the plaintiffs.
