Two groups of investors formed Oculus Capital Group, LLC, sharing ownership 50/50. Each of the two ownership groups was in turn an LLC. The managing member of Oculus, AK-Fell, LLC, was made up of Christopher J. Feeley and Andrea Akel. Feeley was the managing member of this LLC and in that capacity controlled the activities of both AK-Fell and Oculus. In addition, Feeley was president and CEO of Oculus. The nonmanaging member of Oculus was composed of entities collectively known as NHA. NHA alleged that Feeley failed miserably in his managerial roles at Oculus and that his supposed acumen as a financier proved illusory. The control dispute that sparked litigation was resolved, so that what remained of the litigation was NHA’s counterclaim seeking to recover damages from AK-Fell and Feeley for the failed transactions and certain related claims.
