In 1985, defendant and seven others entered into a written agreement to form a general partnership known as “Poughkeepsie Galleria Company”, for the ownership operation and management of a shopping mall. The agreement provided that the partnership shall continue until it is terminated as hereinafter provided. The agreement further provided that the partnership would dissolve upon the election by the partners to dissolve the partnership or the happening of any event which makes it unlawful for the business to be carried on. In 2000, defendant decided to withdraw from the partnership. The partners took the position that defendant had wrongfully dissolved the partnership and they continued the business.
