Beanstalk Group, Inc. (Plaintiff) served owners of intellectual property by negotiating licenses of their property. Plaintiff entered into a representation agreement with AM General Corporation (Defendant) to obtain a trademark license agreement for the mark “HUMMER.” AM General manufactured vehicles called “Hummers.” For any license agreement plaintiff negotiated on behalf of defendant, plaintiff kept a 35 percent commission and the balance of the deal went to defendant. In 1999, AM General entered into a joint-venture agreement with General Motors (GM) (Defendant). After the date of the joint-venture, defendants refused to pay plaintiff for any license agreements. Plaintiff sued defendants for breach of contract.
