1464-Eight Ltd. & Millis v. Joppich

In July 1997, Gail Ann Joppich entered into an earnest money contract with 1464-Eight, Ltd. and Millis Management Corporation under which Joppich agreed to buy, and Millis agreed to convey, an undeveloped residential lot located in a subdivision being developed by Millis. The purchase price was $65,000. At the closing, the parties executed a separate document entitled “Option Agreement.” It did not contain an express statement regarding whether the parties intended the offer to sell real property to be revocable or irrevocable. In October 1999, Joppich filed suit against Millis, seeking a declaratory judgment that the Option Agreement was unenforceable.
