Maryland Supreme Corporation v. The Blake Company
Facts
Blake Company (Defendant) was a general contractor, and Maryland Supreme Corporation (Plaintiff) was a sub-contractor. After learning that Defendant intended to submit a bid for a construction contract, Plaintiff sent Defendant a letter indicating that it could provide specific materials at a certain price for the duration of the construction project. The letter specifically stated that Plaintiff could guaranty the price. Defendant was the successful bidder, and Defendant chose Plaintiff as the materials supplier. During the course of construction, Plaintiff raised the materials’ price above the price quoted in the letter. Defendant opposed the price increase and procured a new supplier. The price Defendant paid the new supplier exceeded the price Defendant would have had to pay Plaintiff. As a result, Defendant withheld a portion of the money it owed Plaintiff. Plaintiff sued Defendant in general assumpsit, and Defendant counterclaimed for breach of contract. The trial court found in favor of Defendant, and Plaintiff appealed.
