Woodcrest Fabrics v. B & R Textile Corp.
Citation:
95 A.D.2d 656, 464 N.Y.S.2d 359 (1983)Facts
Woodcrest Fabrics and B & R Textile Corporation engaged in seven textile transactions during 1981, all negotiated through B.J. Stein Ltd., a textile broker acting on behalf of B & R. For each transaction, the broker sent sales notes to both parties confirming the sale terms and containing arbitration clauses requiring disputes to be resolved according to the General Arbitration Council of the Textile Industry rules. The sales notes prominently stated that acknowledgment by either party would bind both parties unless written objection was made within ten days. Four transactions were completed without incident, one was mutually canceled, but Woodcrest refused to pay for goods received in two transactions (December 1 and December 23, 1981), claiming the materials were substandard and defective. When B & R demanded arbitration, Woodcrest sought to stay the proceedings, claiming it never discussed or agreed to arbitration with either the broker or B & R.
