Plaintiff, Walter, formed a partnership with the Defendant, Holiday Inn to develop a hotel. Once the development got under way, the project began to go over budget and the Defendant sent the Plaintiff cash call letters demanding more money to the project. Plaintiff refused to issue more cash, and as a result the Defendant decided to dilute their shares (down to 49%). Plaintiff then decided to sell their remaining 1% interest to Defendant as well. A year later, the hotel started to become more profitable and Plaintiff brought suit claiming that the Defendant breached its fiduciary duties by failing to provide material information that would have allowed the Plaintiff to negotiate a fair buy out.
