United States v. Columbia Steel Co.
Citation:
334 U.S. 495 (1948)Facts
United States Steel Corporation and its subsidiaries constituted the largest producer of rolled steel products in the United States with over $1.5 billion in investment, producing approximately one-third of all rolled steel products nationally during 1937-1946 with average annual sales of nearly $1.5 billion. Consolidated Steel Corporation, by contrast, had plants valued at less than $10 million with average annual sales of only $20 million during 1937-1941, engaged solely in structural and plate fabrication. In 1946, United States Steel acquired the government-owned Geneva, Utah steel plant for $47.5 million, giving it over fifty-one percent of ingot capacity in the Pacific Coast area. To ensure a market for Geneva’s production of rolled steel products, United States Steel negotiated to purchase Consolidated’s assets for $8.25 million. Consolidated had purchased over two million tons of rolled steel products during 1937-1946, representing approximately three percent of total rolled steel consumption in the eleven-state area where Consolidated operated. The acquisition would eliminate Consolidated as a customer for other rolled steel producers and would eliminate competition between Consolidated and United States Steel’s subsidiaries in structural steel fabrication and large-diameter pipe for oil and gas pipelines.
