Ultraflex Systems of Florida and Veritiv Operating Co. had engaged in a business relationship for several years, with Ultraflex regularly purchasing paper products from Veritiv for its printing business. The parties exchanged various documents during their transactions, including purchase orders from Ultraflex and order confirmations and invoices from Veritiv. Each party’s documents contained their own terms and conditions. A dispute arose when Ultraflex claimed that Veritiv had breached their agreement by failing to provide conforming goods. Veritiv defended by pointing to liability limitations in its terms and conditions, which Ultraflex argued were not part of their agreement. The case centered on determining which terms governed their relationship and whether a binding contract had been formed despite the conflicting terms.
