Ultraflex Systems of Florida, Inc. v. Veritev Operating Co.

In 2019, Ultraflex, a distribution company specializing in substrate fabrics used for digital printing, sued Veritiv, a distributor of print and publishing products and services, for breach of contract relating to unpaid invoices from previous sales. The companies had regularly done business with each other for the past decade and exchanged routine business forms. Veritiv typically would begin each transaction by sending an electronic purchase order with its own terms and conditions. One of these terms was a choice-of-law provision selecting the laws of the State of Delaware as governing the contract, as well as a forum-selection clause selecting the courts of Delaware as the venue for any litigation. Ultraflex’s sales confirmation form included a terms and conditions contained New Jersey choice-of-law provision and forum-selection clause. After Veritev refused to pay for multiple purchase orders between September 2018 and 2019, Ultraflex filed suit against Veritiv for breach of contract in the United States District Court for the District of New Jersey. Veritiv counterclaimed against Ultraflex relating to a defective shipment that Ultraflex provided a credit for but refused to refund. Before the court was Veritiv’s motion to transfer the case to the United States District Court for the District of Delaware, in line with its own terms and conditions.
