Pursuant to an earlier agreement the plaintiff and defendant entered into a contract for the sale of land to be developed. The plaintiff paid a $100,000 deposit towards the contract price. The plaintiff was to perform all of the necessary work. Under the contract the defendant agreed to convey the property to the plaintiff sixty days after the fulfillment of two conditions: submission and approval of construction plans in accordance with the contract and the submission of evidence of financial capacity. The contract allowed the plaintiff to retain his deposit if after preparing the construction plans he couldn’t obtain the necessary financing. The plaintiff never submitted construction plans that were acceptable to the agency. The plaintiff also could not obtain financing. The defendant kept the deposit. Plaintiff sued.
