SCI Minnesota Funeral Services, Inc. v. Washburn-McReavy Funeral Corporation

The parent company of SCI owned and then sold some cemeteries and funeral homes, including Crystal Lake. They did so by selling the stock of the companies, as it was against the law to sell cemeteries for a profit. Corinthian purchased the stock of some of the properties, including Crystal Lake. Crystal Lake’s assets included 2 vacant lots valued at $2 million, though no one involved in the transaction knew this. The sale was for a value of $1 million and did not mention the vacant lots. Corinthian then sold Crystal Lake to Washburn for a value of $1 million. Neither transaction noted the vacant land. No party intended to include or exclude the vacant lots because they did not know about them. About two years later, Washburn became aware of one of the vacant lots and their ownership thereof. SCI and Corinthian then sued Washburn for reformation and rescission. (Only the discussion regarding rescission is included here.)
