The Schymanskis and Conventz entered into an oral partnership agreement to build and operate a fishing lodge, with each group contributing equally. The Schymanskis primarily contributed cash ($133,838.06), while Conventz contributed some cash and property ($39,658.48) plus claimed personal services. Two written agreements were later signed, which Conventz claimed modified the original agreement to allow them to contribute services in lieu of additional cash. Disagreements arose regarding construction quality, financial record-keeping, and partnership funds management. Conventz expressed desire to terminate the partnership in September 1980. The trial court valued Conventz’s non-cash contributions at $70,000 ($50,000 for architectural services and $20,000 for managerial services) and ordered the lodge to be sold with proceeds divided accordingly.
