Saito v. McKesson HBOC, Inc.
Citation:
806 A.2d 113 (2002)Facts
On October 17, 1998, McKesson Corporation entered into a stock-for-stock merger agreement with HBO & Company (HBOC). Noel Saito purchased McKesson stock on October 20, 1998, after the merger agreement was announced but before its completion in January 1999. Between April and July 1999, McKesson HBOC announced a series of financial restatements totaling $827.4 million in reduced revenues for the previous three fiscal years, all attributed to accounting irregularities at HBOC. These announcements triggered several lawsuits, including a derivative action in which Saito was a plaintiff. After the Court of Chancery dismissed the derivative complaint without prejudice and suggested using § 220 to obtain necessary information, Saito made a demand to inspect McKesson HBOC’s books and records. His stated purpose was to investigate potential breaches of fiduciary duties by the boards of directors related to accounting procedures and financial reporting, as well as potential claims against advisors engaged in the acquisition. The Court of Chancery found Saito had a proper purpose but limited his inspection rights in three ways, leading to this appeal.
