Rheinberg Kellerei GmbH, a German wine producer, entered into a contract to sell wine to an American importer, Woodrow W. Morris. To facilitate payment, Morris arranged for Brooksfield National Bank to issue a letter of credit in favor of Rheinberg. The letter of credit required Rheinberg to present specific documents, including a commercial invoice identifying the applicant as “Woodrow W. Morris d/b/a The Morris Company.” When Rheinberg presented documents to obtain payment, the commercial invoice identified the applicant merely as “The Morris Company” without including “Woodrow W. Morris d/b/a.” Additionally, there were other discrepancies in the documentation. Brooksfield Bank refused to honor the letter of credit based on these discrepancies, and Rheinberg sued for wrongful dishonor.
