California Civil Procedure, Keyed to Levine, 6th Ed.
Rand Resources, LLC v. City of Carson
Citation:
6 Cal. 5th 610, 243 Cal. Rptr. 3d 1, 433 P.3d 899 (2019)Facts
In 2012, Rand Resources and the City of Carson entered into an Exclusive Agency Agreement (EAA) making Rand Resources the City’s exclusive agent to negotiate with the National Football League regarding construction of a football stadium in Carson. The agreement prohibited the City from engaging any other person or entity to represent it in NFL negotiations. The EAA had a two-year term with options for extension. Plaintiffs alleged that City Attorney Bill Wynder represented the agreement would be extended if Rand showed reasonable progress. However, the City allegedly breached the exclusivity provision by allowing rival developer Leonard Bloom and his company U.S. Capital to act as the City’s representative in NFL negotiations. Mayor Dear and Bloom allegedly held secret meetings and exchanged confidential emails about the stadium project. When Rand inquired about Bloom’s involvement, Mayor Dear falsely denied knowing Bloom. In July 2014, Rand Resources requested an extension of the EAA, but the City Council voted to deny the extension after Bloom met with city officials to discuss how to avoid renewing the agreement.
