On October 7, 1964, Prima Paint Corporation purchased F&C’s paint business and entered into a consulting agreement with F&C. The consulting agreement contained a broad arbitration clause stating that “[a]ny controversy or claim arising out of or relating to this Agreement, or the breach thereof, shall be settled by arbitration.” When the first payment became due on September 1, 1965, Prima Paint did not make the payment directly to F&C but instead paid into escrow, alleging that F&C had fraudulently represented its solvency and ability to perform the contract. Prima Paint noted that F&C had filed for bankruptcy just one week after signing the agreement. F&C responded by serving a notice of intention to arbitrate. Prima Paint then filed suit in federal court seeking rescission of the consulting agreement based on fraudulent inducement and petitioned for an injunction against the arbitration proceedings. F&C cross-moved to stay the court action pending arbitration, arguing that the issue of fraudulent inducement was for the arbitrators to decide.
