Parker v. K&L Gates
Citation:
76 A.3d 859 (2013)Facts
Robert Parker had been a partner at Preston Gates & Ellis, LLP. In 2006, that firm merged with Kirkpatrick & Lockhart Nicholson Graham, LLP to form K&L Gates, LLP. To become a partner at the new firm, Parker signed a supplement to K&L Gates’s partnership agreement stating that new partners agreed to be bound by the partnership agreement “as amended.” One amendment, added before Parker signed, contained arbitration and forum-selection clauses requiring disputes to be arbitrated in the District of Columbia. A dispute later arose between Parker and K&L Gates, resulting in Parker’s separation from the firm. Parker then filed suit in California state court against K&L Gates, two of its partners, and other parties, alleging breach of contract, breach of fiduciary duty, wrongful termination, age discrimination under the ADEA, and other claims. K&L Gates moved to compel arbitration in D.C. Superior Court, which granted the motion. Parker appealed.
