Paramount Communications, Inc. v. Time Incorporated

Time Inc., a Delaware corporation primarily engaged in publishing, had been considering expansion into entertainment since the mid-1980s. After extensive strategic planning, Time’s board identified Warner Communications as the ideal merger partner to achieve global expansion. In March 1989, Time and Warner agreed to a stock-for-stock merger with carefully negotiated corporate governance provisions designed to preserve Time’s corporate culture and editorial independence. The merger required Time shareholder approval under NYSE rules.
Before the shareholder vote could occur, Paramount made an unsolicited all-cash tender offer of $175 per share for Time on June 7, 1989, later raised to $200 per share. Time’s board, comprised primarily of outside directors, rejected Paramount’s offers as inadequate and threatening to Time’s strategic objectives and corporate culture. To avoid a shareholder vote that might favor Paramount’s cash premium, Time restructured its deal with Warner from a merger to an outright acquisition, taking on substantial debt to finance the purchase. Paramount and Time shareholders sued to enjoin the restructured transaction.
