In 1962, Elmer Nelson and Hazel allegedly entered into an oral agreement for the sale of Hazel’s farmland for $32,000. Following this agreement, Nelson took possession of the property, began farming operations, constructed fences, cleared sagebrush, and made other improvements to the land. Nelson also made a partial payment of $2,000 toward the purchase price. Despite these actions, Hazel later refused to complete the transaction and denied the existence of any binding agreement. Nelson then filed suit seeking specific performance of the oral contract, arguing that his actions constituted sufficient part performance to remove the contract from the Statute of Frauds. Hazel contended that no definite agreement had been reached and that Nelson’s actions were merely preparatory and did not constitute part performance.
