Morgan County Feeders, Inc. (MCF) operated a cattle feeding business and regularly purchased corn for its operations. In July 1988, MCF allegedly entered into an oral agreement with McCormick, a farmer, to purchase 25,000 bushels of corn at $2.32 per bushel for delivery in December 1988. MCF claimed it sent a written confirmation of this agreement to McCormick shortly after the oral agreement. McCormick denied receiving the confirmation and later refused to deliver the corn, claiming there was no enforceable contract due to the Statute of Frauds. When corn prices rose to $2.85 per bushel by December, MCF had to purchase replacement corn at the higher price and sued McCormick for the price difference of approximately $13,250.
