In 2012, Tempnology entered into a contract with Mission Product Holdings, granting Mission an exclusive license to distribute certain Coolcore products in the United States and a non-exclusive license to use the Coolcore trademarks worldwide. The agreement was set to expire in July 2016. In September 2015, Tempnology filed for Chapter 11 bankruptcy and sought to reject the licensing agreement under Section 365(a) of the Bankruptcy Code. After the Bankruptcy Court approved the rejection, Tempnology argued that its rejection also terminated Mission’s rights to use the Coolcore trademarks. Tempnology based its argument on a negative inference from provisions like Section 365(n), which explicitly protect certain intellectual property licensees but do not mention trademarks. The case ultimately reached the Supreme Court, which had to determine whether rejection of the contract terminated Mission’s trademark rights or merely constituted a breach that left those rights intact.
