Michaels Stores, Inc. entered into a lease agreement with Castle Ridge Plaza Associates for retail space in a shopping center. The lease contained a provision that Michaels would be the only arts and crafts store in the shopping center. When Castle Ridge allegedly violated this exclusivity provision by leasing space to a competing arts and crafts retailer, Michaels filed suit in federal court seeking declaratory and injunctive relief to enforce the lease terms. Castle Ridge moved to dismiss the case, arguing that the amount in controversy did not exceed $75,000 as required for federal diversity jurisdiction. Michaels contended that the value of the exclusivity provision and potential lost profits exceeded the jurisdictional threshold.
