Meteoro Amusement Corporation, a Puerto Rican company, entered into negotiations with Six Flags, Inc. for the sale of an amusement ride. The negotiations included communications via telephone, fax, and email between Meteoro in Puerto Rico and Six Flags representatives in various locations. A contract was allegedly formed, but Six Flags later refused to complete the purchase. Meteoro filed suit in Puerto Rico claiming breach of contract. Six Flags moved to dismiss the case, arguing that it lacked sufficient contacts with Puerto Rico to justify the court’s exercise of personal jurisdiction. Six Flags contended that it did not maintain offices, employees, or conduct regular business in Puerto Rico, and that the mere fact of contracting with a Puerto Rican company was insufficient to establish jurisdiction.
