United States Steel Corporation (“U.S. Steel”) (defendant) owned and operated two large steel mill plants in Youngstown, Ohio. The two plants employed 3,500 employees and had a dominant impact in the business community of Youngstown. Over time, the plants became unprofitable due to obsolescence and changes in technology, markets, and transportation. U.S. Steel engaged in a major campaign (with the help of employee participation from the plant workers) in an effort to make the two plants profitable. These efforts were unsuccessful and U.S. Steel prepared to close the two plants. Locals 1330 and 1307 of the United Steel Workers of America (“Locals 1330 and 1307”) (plaintiffs) had a collective bargaining contract with U.S. Steel and sued to prevent the closure of the plants.
