In March 2020, during the early stages of the COVID-19 pandemic, Kettering Adventist Healthcare was seeking to purchase medical equipment to address anticipated healthcare needs. Kettering contacted Jade Designs, LLC regarding the purchase of medical equipment including ventilators and other critical supplies. Through a series of email exchanges, Jade Designs confirmed the availability of specific equipment at stated prices. Kettering subsequently sent purchase orders for the equipment, which Jade acknowledged. However, as market conditions changed rapidly during the pandemic, Jade Designs later refused to deliver the equipment, claiming that no binding contract had been formed through the email communications. Jade argued that the emails were merely preliminary negotiations and that no meeting of the minds had occurred on essential terms.
