International Shoe was a Delaware corporation with its principal place of business in St. Louis, Missouri. It manufactured and sold footwear in several states but had no office, made no contracts, maintained no inventory, and made no deliveries in Washington. During 1937-1940, the company employed 11-13 salesmen who resided in Washington and worked under the supervision of managers in St. Louis. These salesmen displayed samples, solicited orders from potential buyers, and transmitted those orders to St. Louis for acceptance or rejection. When accepted, merchandise was shipped from outside Washington to purchasers within the state. The salesmen had no authority to enter into contracts or make collections. They were compensated by commissions totaling more than $31,000 annually. Washington sought to collect contributions to the state unemployment compensation fund based on these activities, serving notice on a salesman in Washington and sending notice by registered mail to the company’s St. Louis office.
