International Shoe Co. (Plaintiff) was a Delaware corporation that conducted some minor business in the state of Washington. While Plaintiff’s principal place of business was in Missouri, a small number of its salesmen resided in Washington and often rented rooms in local hotels to display merchandise to prospective customers. The state of Washington (Defendant) had a collection of statutes which imposed a tax on corporations that conduct business within its boundaries. The statutes also outlined the procedure for notifying a corporation that it had overdue taxes: personally notify the employer or, if the employer could not be found, by sending mail to the employer’s last known address. Plaintiff did not pay its taxes and was notified of its delinquent status in two ways: one sales representative was notified in person, and notice was sent by mail to the corporation’s principal address. Plaintiff sued.
