Reliant Energy Channelview LP and Reliant Energy Services Channelview LLC filed for Chapter 11 bankruptcy and decided to sell their largest asset, a power plant in Channelview, Texas. The Debtors contacted 115 potentially interested purchasers, resulting in twelve bids. Kelson Channelview LLC submitted a complete, fully-financed bid of $468 million and entered into an Asset Purchase Agreement (APA) with the Debtors. The APA required Debtors to seek Bankruptcy Court approval for bid protections including a $15 million break-up fee, a $5 million overbid requirement, and up to $2 million in expense reimbursement. The Bankruptcy Court refused to approve the sale without an auction and denied the break-up fee while approving the other protections. Fortistar ultimately won the auction with a $500 million bid, exceeding Kelson’s bid by $32 million.
