Plaintiff John Hynansky and defendant Albert A. Vietri entered into a business venture in 1988 to purchase and develop a parcel of land in Pennsylvania. The parties executed a document that purportedly established JHV Associates. The documents contemporaneously executed by Vietri to acquire the parcel and to finance its acquisition indicated that the acquiring entity was a partnership. Although Vietri acknowledges that he signed the various documents, including the agreement, and that he saw the term “partner” he now asserts that he did not read the agreement. Instead, he contends that he relied upon his attorney, who also represented Hynansky and the partnership, to implement the business arrangement with his understanding that the business would be conducted under some type of limited liability entity.
