The plaintiff had been working for the defendant for many years and had been promoted to Chief Executive Officer. In 1983, he learned that customers of the defendant had been experiencing financial difficulties. The plaintiff contacted the customers offering financial counseling and they told him of their desire to sell their farm. Discussions between the plaintiffs and the customers led to the plaintiff’s sons offering to buy the property. In accordance with the defendant’s procedure, the plaintiff submitted the details of the transaction to the board of directors and the the board approved the transaction. The defendant launched an investigation into the matter and then told the plaintiff he was being discharged from his position. The defendant’s reason was that the plaintiff had violated written standards of conduct.
