Hadley (plaintiff) owned a mill in Gloucester, England. His mill operations halted after the mill’s crank shaft broke. Hadley required a new crank shaft in order for the mill to continue its operations. Hadley had to send the broken crank to shaft Joyce & Company in Greenwich, England to serve as a model for a new replacement crank shaft. One of Hadley’s servants carried the broken crank shaft to Baxendale’s (defendant) shipping business, Pickford & Company, who would then transport it to Greenwich. Hadley’s servant explained that their mill was stopped, and they needed the broken crank shaft to be sent immediately. A Pickford employee replied that if the broken crank shaft was sent up before noon, then it would arrive at Greenwich the following day. Pickford, however, delayed shipping the shaft to Greenwich. As a result, Hadley did not receive the new crank shaft for several days and his mill lost profits. Hadley sued Baxendale to recover damages.
