The Alabama Board of Optometry initiated delicensing proceedings against all optometrists in the state who were employed by business corporations. The Board was composed entirely of optometrists in private practice who would potentially benefit financially from eliminating corporate-employed optometrists as competitors. The Board claimed that Alabama law prohibited the corporate practice of optometry. The plaintiff optometrists were employed by Lee Optical, a business corporation with 14 offices in Alabama. They sought an injunction in federal court against the Board proceedings, arguing that the Board members were biased due to their financial interest in the outcome and that the proceedings violated their due process rights under the Fourteenth Amendment.
