Gateway Potato Sales v. G.B. Investment Co.

Sunworth’s partnership included Sunworth Corp. (general partner) and G.B. Investment Co. (limited partner). Gateway sold potato seeds to the Sunworth partnership, but did not receive payment. Sunworth’s president had told Gateway they were in partnership with G.B. Investment. Gateway believed G.B. was the general partner of Sunworth, and controlled the partnership‘s general operations based on statements made by the Sunworth president. Gateway filed a claim against all parties, and G.B. moved for summary judgment on the ground it was a limited partner and had not directly dealt with Gateway.
