In March and April 1978, Dr. Leslie Miles and his son Bruce negotiated with Dr. Edwin L. Everhart to purchase approximately 101 acres of land including barns, silos, farmhouse, seventy-five head of Holstein cattle, and farm equipment for a total of $279,000. The parties contemplated a lease-purchase agreement with an option to purchase after ten years. In May 1978, Bruce Miles and his wife traveled from North Carolina and moved onto the farm on June 1, 1978, making a reduced down payment of $10,000 instead of the originally agreed $29,000. Although a written contract was never executed, the appellees lived on the farm, operated the dairy business, and made substantial improvements including fixing the barn roof, renovating the farmhouse, installing a septic system, replacing the house pump, repairing farm equipment, and filling the silos with approximately 600 tons of silage. The appellant knew of and accepted these improvements. Eventually, the appellees reduced their offer to $189,000, which Everhart rejected, causing the Miles family to vacate on September 21, 1978.
