Facts
The Plaintiff (Ever-Tite Roofing) and the Defendant (Green) wrote a contract for the Plaintiff to re-roof the Defendant’s residence. The contract specified that it would only become binding and enforceable either when signed by an authorized officer of the Plaintiff, or by commencement of performance of the work. The contract was never properly signed. The Plaintiff immediately and with due diligence began obtaining the necessary reports and documents for the commencement of the work. The day after all necessary approvals were given, the Plaintiff began loading up its trucks with the necessary materials and proceeded to the residence, where they found another contractor doing the work instead. The Defendants then notified the Plaintiff that the work had been given to other parties two days before.
