On January 19, 1979, MITE Corp., a Delaware corporation with principal offices in Connecticut, initiated a cash tender offer for all outstanding shares of Chicago Rivet & Machine Co., a publicly held Illinois corporation, offering twenty-eight dollars per share, approximately four dollars above the prevailing market price. MITE filed the required Schedule 14D-1 with the Securities and Exchange Commission to comply with the Williams Act but did not comply with the Illinois Business Take-Over Act. On the same day, MITE filed suit in federal district court seeking declaratory and injunctive relief. Chicago Rivet responded by attempting to invoke both Pennsylvania and Illinois takeover laws and made a competing offer for its own shares at thirty dollars per share. After obtaining a preliminary injunction on February 2, 1979, MITE published its tender offer on February 5, 1979. The District Court entered final judgment on February 9, 1979, declaring the Illinois Act unconstitutional. Subsequently, MITE and Chicago Rivet reached an agreement whereby both offers were withdrawn, and MITE ultimately decided not to pursue the acquisition.
