CTS Corporation v. Dynamics Corporation of America
Citation:
481 U.S. 69, 107 S. Ct. 1637, 95 L. Ed. 2d 67 (1987)Facts
On March 10, 1986, Dynamics Corporation of America owned 9.6% of CTS Corporation’s common stock and announced a tender offer for another million shares, which would have increased its ownership to 27.5%. Six days earlier, Indiana’s Control Share Acquisitions Chapter had become effective. The Chapter required that when an entity acquires shares crossing certain thresholds (20%, 33⅓%, or 50%), voting rights are granted only if approved by a majority of disinterested shareholders. CTS, an Indiana corporation, elected to be governed by the Act on March 27, 1986. Dynamics filed suit challenging the Act as preempted by the Williams Act and violative of the Commerce Clause. The Act applied only to Indiana corporations meeting specific criteria regarding number of shareholders, Indiana presence, and Indiana shareholder residency or ownership percentages.
