Arnold Maremont was the president of Maremont Automotive Products and chairman of Motor Products Corporation and Allied Paper Corporation. In 1957, Maremont began purchasing Holland stock and inquiring with Cheff about the feasibility of a merger between Motor Products and Holland. Maremont’s operations did not match Holland’s and Maremont sought to reduce the number of sales person from Holland’s operations.
Cheff and the rest of Holland’s board of directors became aware of Maremont’s reputation for purchasing and liquidating companies. Based on this information, Mrs. Cheff began personally purchasing Holland stock. Thereafter, Maremont offered to sell Motor Products’ holdings in Holland for $14 per share, but withdrew the offer after a delay in Holland’s response. In October, another tentative agreement was reached to sell the 155,000 shares for $14.40 per share. A resolution was then adopted by the board to purchase the shares and finance the purchase.
