On December 27, 1927, Canadian Industrial Alcohol Company (“Canadian”) (plaintiff) contracted with Dunbar Molasses Company (“Dunbar”) (defendant) for the purchase of approximately 1.5 million gallons of molasses. Per the parties’ contract, shipments of the molasses were to begin after April 1, 1928 and to continue for an extended period of time during the warm weather months. Dunbar outsourced the orders for the molasses to the National Sugar Refinery at Yonkers (“the Refinery”). Dunbar delivered 344,083 gallons of molasses—the amount it was able to obtain from the Refinery—but failed to deliver more. Canadian sued Dunbar for breach of contract. Dunbar argued that its duties under the contract were conditioned on being able to obtain a sufficient quantity of molasses from the Refinery.
