The plaintiffs-appellants were approximately 400 unsophisticated, income-oriented investors who purchased interests in the Hutton/Indian Wells 1983 Energy Income Fund, Ltd., a limited partnership organized to acquire oil and gas producing properties. Each limited partner allegedly informed Hutton account executives that their investment objectives included income, capital appreciation, tax benefits, and savings. The account executives allegedly gave oral assurances that the partnership had either no risk or low risk. Before investing, each limited partner received a promotional brochure and a detailed prospectus. The brochure emphasized positive aspects but repeatedly referenced risk disclosures in the prospectus. The prospectus contained comprehensive, prominent risk disclosures spanning three single-spaced pages, warning of numerous risks including production failures, market fluctuations, management inexperience, competition, operating hazards, limited liquidity, and potential total loss. After their investments became worthless, the limited partners sued Hutton alleging violations of Section 10(b) based on unsuitability claims.
