Basic Inc. was a publicly traded company manufacturing chemical refractories for the steel industry. As early as 1965, Combustion Engineering had expressed interest in acquiring Basic but was deterred by antitrust concerns. In 1976, regulatory action removed these concerns, and Combustion renewed its interest. From September 1976 through December 1978, representatives from both companies held meetings and discussions concerning a possible merger.
