Arnold Palmer and Fuqua executives negotiated over a possible business relationship and ultimately formed a memorandum of intent for the intended business combination. The memorandum required both parties to work diligently in finalizing the deal but also conditioned the deal’s closing on board approval from Fuqua. Fuqua thereafter terminated further negotiations.
